Terms & Conditions

AGNTX is an AI-powered voice assistant platform that allows users to interact with an artificial intelligence agent capable of managing calendar events, emails, tasks, and other integrations via voice or text commands. The Service is provided on an invite-only, beta basis.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. During the beta phase, features may change without prior notice.

• You must be at least 18 years of age to use AGNTX.
• You must provide accurate registration information.
• During the beta, a valid invite code is required to register.
• Corporate or business accounts must be registered by an authorised representative.
• You may not create more than one account per person without our explicit permission.

You are responsible for maintaining the confidentiality of your credentials and for all activities occurring under your account. You must:

• Use a strong, unique password.
• Notify us immediately of any unauthorised access at info@agntx.tech.
• Not share your account credentials with third parties.

We are not liable for losses arising from unauthorised use of your account.

• Bundle: Each purchase grants 500 AI commands and 30 days of service access from the date of activation.
• Commands: One "command" equals one complete AI request-response cycle (voice or text).
• Rollover: Unused commands carry forward when you purchase an additional bundle before expiry.
• Stacking: Purchasing multiple bundles extends both commands and validity cumulatively.
• Expiry: When the bundle expires, access to AI commands is suspended until renewed.
• Pricing: Prices are in USD. We reserve the right to change pricing for future bundles with 14 days' notice.
• Taxes: Prices are exclusive of VAT/GST where applicable. EU users may be charged applicable VAT.

If the bundle is not activated (no commands used), you may contact us within 14 days of purchase to request a full refund.

• Activated bundles: No refund once commands have been used (see Section 5 above).
• Unactivated bundles: Full refund available within 14 days of purchase if no commands have been consumed.
• Technical failures: If service unavailability caused significant bundle consumption, contact us for a pro-rata credit.
• Process: Email info@agntx.tech with your payment reference.

You agree not to use AGNTX to:

• Violate any applicable law or regulation (EU, Italian, or US law).
• Generate, distribute, or facilitate illegal content, hate speech, harassment, or content that infringes third-party rights.
• Circumvent access controls, reverse engineer, or attempt to extract our source code or AI models.
• Abuse the AI system through prompt injection, jailbreaking, or attempts to override safety guidelines.
• Automate bulk requests beyond normal personal use, or resell access to the Service.
• Use the Service for surveillance, biometric processing, or building profiles on third parties without consent.
• Impersonate any person or entity.

Violation of this policy may result in immediate account suspension without refund.

• AGNTX must not be used as the sole basis for medical, legal, financial, psychological, or safety-critical decisions.
• AI-generated content may be inaccurate. Always verify important information independently.
• Actions taken by the AI on connected services (email, calendar, etc.) are performed on your behalf and are your responsibility to review.
• We are not responsible for the content of third-party services (Google, Slack, etc.) accessed through integrations.

All platform code, design, branding, prompts, and AI system architecture are the exclusive property of AGNTX and are protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for personal or business purposes during your subscription.

Your personal data, conversations, and user-generated content remain your property. You grant AGNTX a limited licence to process them solely for providing the Service.

To the maximum extent permitted by applicable law:

• AGNTX is provided "as is" without warranties of any kind, express or implied.
• We do not warrant that the Service will be uninterrupted, error-free, or that AI responses will be accurate.
• Our aggregate liability to you for any claims arising from these Terms or use of the Service shall not exceed the amount you paid for the bundle giving rise to the claim in the preceding 12 months.
• We are not liable for indirect, incidental, special, consequential, or punitive damages.

EU/Italian consumer rights under the Italian Consumer Code (D.Lgs. 206/2005) and EU Consumer Sales Directive are not affected by this limitation.

Your use of AGNTX is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using AGNTX you acknowledge you have read and understood the Privacy Policy.

These Terms are governed by and construed in accordance with Italian law, without regard to conflict-of-law principles.

• EU users: Disputes shall be subject to the jurisdiction of the Italian courts, without prejudice to mandatory consumer protection rights under EU law. EU consumers may also use the EU Online Dispute Resolution platform: ec.europa.eu/consumers/odr.
• US users: Disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), with proceedings in English. Class action waivers apply to the extent permitted by law.
• All users: We encourage resolving disputes amicably by first contacting us at legal@agntx.tech.

We may update these Terms from time to time. Material changes will be communicated by email or in-app notification at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
